These Terms of Service ("Terms") govern your access to and use of the Counsel Stack website, software, and services (collectively, the "Service"), provided by Counsel Stack, Inc. ("Counsel Stack," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

1. Description of Service
Counsel Stack provides an artificial intelligence-powered platform designed to assist licensed legal professionals with legal research, analysis, and document drafting ("AI-Generated Content"). The Service is intended as a tool to augment, not replace, professional legal judgment.

2. User Accounts and Eligibility
You must be a licensed attorney in good standing or a legal professional (e.g., paralegal, law student) operating under the supervision of a licensed attorney to create an account. You agree to: Provide accurate, current, and complete information during registration. Maintain the security of your password and account, be solely responsible for all activities that occur under your account, notify us immediately of any unauthorized use of your account, and not attempt, effectuate, or cause reverse engineering, or cloning of any portion of the platform.

3. Professional Responsibility of the User
As a legal professional, you acknowledge and agree to the following:
Verification is Your Responsibility: AI-Generated Content may contain inaccuracies, errors, or "hallucinations." You are solely responsible for reviewing, verifying, and fact-checking all AI-Generated Content for accuracy and completeness against primary legal sources. No Attorney-Client Relationship: Your use of the Service does not create an attorney-client relationship between you and Counsel Stack. Counsel Stack is a software provider, not a law firm, and does not provide legal advice. Compliance with Rules of Professional Conduct: You are responsible for ensuring your use of the Service complies with all applicable rules of professional conduct, court orders, and other regulations in your jurisdiction. This includes, but is not limited to, rules regarding client confidentiality, the unauthorized practice of law, billing practices, and any requirements to disclose the use of AI. Final Judgment: The Service is a tool. The final legal analysis, advice to clients, and professional work product remains your exclusive responsibility.

4. Subscription, Fees, and Payment
Subscription Plans: The Service is offered on a subscription basis. Fees, features, and subscription terms will be presented to you at the time of purchase. Billing: You authorize us to charge your chosen payment method for recurring subscription fees. All fees are non-refundable except as required by law. Cancellation: You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that date. Fee Changes: We reserve the right to change our subscription fees. We will provide you with advance notice of any fee changes, and you will have the opportunity to cancel your subscription before the new fees take effect.

5. Confidentiality and Data Security
Our Commitment: We understand the sensitive nature of legal work. We implement robust technical and organizational measures to protect the confidentiality and security of your data. SOC 2 Compliance: Counsel Stack maintains SOC 2 Type 1 compliance, which means our controls are appropriately designed and have been audited by an independent third party to ensure they meet high standards for security. Use of Your Data: We do not use the confidential or client-specific information you input into the Service ("User Inputs") to train our general, public-facing AI models. Your User Inputs are used solely to provide the Service to you. Please see our Privacy Policy for more details.

6. Intellectual Property
Our Service: We and our licensors own all right, title, and interest in and to the Service, including all related software, technology, and intellectual property rights. Your Content: You retain all ownership rights to your User Inputs. You grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, and transmit your User Inputs solely to the extent necessary to provide and improve the Service for you. AI-Generated Content: Subject to your compliance with these Terms, we grant you the right to use the AI-Generated Content as part of your professional work product. However, you assume all responsibility for that work product, as outlined in Section 3.

7. Disclaimers and Limitation of Liability
"AS IS" SERVICE: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO GUARANTEE OF ACCURACY: COUNSEL STACK DOES NOT WARRANT THAT THE AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM ERRORS.LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COUNSEL STACK OR ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

8. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, if you violate these Terms. You may terminate your account by canceling your subscription.

9. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Pennsylvania, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Pittsburgh, in accordance with the rules of the American Arbitration Association.

10. General Provisions
These Terms constitute the entire agreement between you and Counsel Stack. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. We may update these Terms from time to time by posting the revised version on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

("Counsel Stack," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our Service.

Cookies: We use cookies to operate and administer our Service and improve your experience.

2. How We Use Your Information
We use the information we collect to:
Provide, Maintain, and Improve the Service: To process your User Inputs, generate AI-Generated Content, manage your account, and process payments. Ensure Security: To protect against fraud, abuse, and security risks. Communicate with You: To send you service-related updates, invoices, and marketing communications (which you can opt-out of). Comply with Legal Obligations: To enforce our Terms and comply with applicable laws.

3. Data Confidentiality and AI Model Training
Your User Inputs are Your Confidential Information.
We have a strict policy against using your confidential User Inputs to train AI models that serve other customers. Our contracts with LLM providers include strict no training provisions, and uploaded documents are only processed with Zero Data Retention contracts in place. Your data is used only to provide and improve the Service for you and is not co-mingled with the data of other users for training purposes.

4. How We Share Your Information
We do not sell your Personal Information. We may share your information only in the following limited circumstances:
Service Providers: With trusted third-party vendors who perform services on our behalf, such as payment processing (e.g., Stripe) and cloud hosting (e.g., AWS). These providers are bound by strict confidentiality obligations. Legal Requirements: If required by law, subpoena, or other legal process, or to protect our rights, property, or safety, or the rights, property, or safety of others. Business Transfers: In connection with a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction.

5. Data Security
We implement industry-standard security measures to protect your information. Counsel Stack is SOC 2 Type 1 compliant, meaning our security practices and controls have been independently audited to ensure the protection of your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee its absolute security.

6. Your Data Rights and Choices
Depending on your location, you may have certain rights regarding your personal information, such as the right to access, correct, or delete your data. You can manage your account information through your settings or by contacting us.

7. Children's Privacy
Our Service is not directed to individuals under the age of 18.
